Terms of Service

These Terms of Service govern your use of Palisade (the “Service”), including the Palisade Discord application and the web dashboard. By adding the Service to a Discord server, signing in to the dashboard, or purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service provides configurable community-management features for Discord servers, including moderation, automated moderation, logging, role management, welcome messages, ticketing and automation. Features are enabled and configured by the administrators of each server.

The Service is operated by X3.

Palisade is an independent service. It is not affiliated with, endorsed by, sponsored by, or operated by Discord Inc.

2. Discord

The Service operates within Discord and depends on Discord’s platform and APIs. Your use of the Service is also subject to Discord’s Terms of Service and Community Guidelines. Where those terms conflict with these Terms, Discord’s terms govern your use of Discord.

We do not sell, license or otherwise commercialise data obtained through Discord’s APIs, and we do not use message content to train machine learning models.

3. Eligibility

You must have a Discord account in good standing and meet Discord’s minimum age requirement. If you accept these Terms on behalf of an organisation, you represent that you are authorised to bind it. If you purchase a subscription, you represent that you have the legal capacity to enter into a contract.

4. Server authorisation

Configuring a Discord server through the Service requires the Administrator or Manage Server permission for that server. We verify that permission with Discord each time you access server settings, and your access ends when the permission is removed.

The Service acts on behalf of the servers that install it and operates within the Discord permissions those servers grant. You are responsible for the configuration of any server you administer and for the people to whom you grant administrative permissions.

5. Your responsibilities

You are responsible for:

  • The security of your Discord account and of any credentials used to access the Service.
  • The configuration you create, including moderation rules, automations, scheduled messages and custom commands, and for the results of that configuration.
  • Reviewing the actions taken by automated features on your servers.
  • Any content or feed sources you publish through the Service, and for holding the rights necessary to do so.
  • Informing the members of your servers about the data your configuration causes to be recorded.
  • Complying with applicable law and with Discord’s terms and policies.
  • Payment of the fees for any subscription you purchase.

6. Acceptable use

You may not use the Service to:

  • Send unsolicited bulk messages or direct messages, or generate messages in order to simulate activity in a Discord server.
  • Attack, disrupt or harass a Discord server or its members, including through mass moderation actions, coordinated raids, or misuse of moderation and security features.
  • Interfere with the operation of the Service, of Discord, or of any third-party system, including by generating excessive load or by configuring automation intended to consume resources rather than to serve a purpose.
  • Circumvent rate limits, cooldowns, plan limits or any other technical restriction applied by the Service.
  • Access data or servers you are not authorised to access, or attempt to identify or enumerate other customers of the Service.
  • Direct the Service at systems you are not authorised to reach.
  • Interfere with billing, or obtain paid features without paying for them.
  • Violate applicable law or Discord’s terms and policies.

You may not resell, sublicense or otherwise make the Service available to third parties, except by administering Discord servers in the ordinary course.

7. Your content

You retain all rights in the configuration, content and materials you provide to the Service. You grant us a non-exclusive, worldwide licence to host, store, process and display that material as necessary to operate and provide the Service to you and to the servers you administer. The licence ends when the material is deleted.

You are responsible for the material you provide and represent that you hold the rights necessary to provide it.

8. Our intellectual property

The Service, including the Palisade application, the dashboard, the underlying software, the documentation and the branding, is owned by us and our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service. No other rights are granted.

9. Plans and fees

The Service is available on a free plan and on a paid plan (“Pro”). Pro is purchased separately for each Discord server and costs $5 per month or $50 per year, in US dollars. Current plan features and limits are published on our pricing page.

You may purchase Pro only for a Discord server you are authorised to administer. Payments are processed by our payment provider; we do not receive or store your payment card details.

Fees are exclusive of any applicable taxes, which are your responsibility. Fees are non-refundable, as described in section 13.

10. Automatic renewal

Pro subscriptions renew automatically at the end of each billing period at the then-current price for that plan, and you will be charged on each renewal date until you cancel. The price, the billing interval and the recurring nature of the subscription are shown before you complete your purchase.

11. Cancellation

You may cancel a subscription at any time through the billing portal linked from the billing page of the relevant server in your dashboard.

Cancellation takes effect at the end of the current billing period. Pro features remain available until then, after which the server reverts to the free plan. Your configuration is retained.

12. Failed payments

If a payment fails, Pro features remain available while our payment provider retries the charge. If payment is not recovered, Pro features are disabled and the server reverts to the free plan. If a payment is reversed or charged back, the subscription terminates.

13. Refunds

Subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, for cancellations made during a billing period, or for periods during which the Service was unused, except where a refund is required by applicable law.

This section does not limit any rights you have under applicable consumer law.

14. Changes to the Service and fees

We may add, modify or discontinue features and change plan limits from time to time. We may also change subscription prices; a price change applies from your next renewal.

Where a change materially reduces the features included in your plan, it applies to your subscription from your next renewal, and you may cancel before that date.

15. Availability

The Service is provided without a service level commitment. We do not warrant that it will be available without interruption or free from errors.

The Service depends on Discord and on other third-party providers, and may be unavailable or degraded as a result of their availability, of maintenance, or of circumstances outside our reasonable control.

16. Suspension and termination

We may restrict features, suspend the Service for a server, remove the Palisade application from a server, or terminate access to the Service where reasonably necessary to address a breach of these Terms, abuse, fraud, a security or availability risk, a legal requirement, or a requirement imposed by Discord.

Where practicable we will apply the least restrictive measure appropriate. Where delay would risk material harm to the Service, to Discord or to other users, we may act immediately and review the action afterwards.

You may stop using the Service at any time by removing the Palisade application from your servers. Removing the application does not cancel a subscription; cancel it separately as described in section 11.

17. Data

Our Privacy Policy describes the data we process, the purposes for which we process it, and how long we retain it. It forms part of these Terms.

Server configuration is retained after the application is removed from a server, so that the server can be restored if the application is added again. A server owner may request deletion of a server’s data as described in the Privacy Policy.

18. Automated features

Automated moderation, security and automation features operate according to the rules you configure and may produce incorrect or unintended results. You are responsible for configuring these features appropriately and for reviewing the actions they take. We are not responsible for moderation decisions made on your servers.

19. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

20. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, data, goodwill or business opportunity, arising out of or relating to the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

21. Indemnity

You will indemnify and hold us harmless against any third-party claim, and any resulting losses, liabilities and reasonable costs, arising from your use of the Service, from the content or configuration you provide, or from your breach of these Terms. This does not apply to claims arising from our own acts or omissions.

22. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of laws rules. Proceedings arising out of or relating to these Terms or the Service may be brought in the state or federal courts located in the State of Ohio, and each party submits to the jurisdiction of those courts.

If you are a consumer, nothing in this section deprives you of the protection of any mandatory provision of the law of your country or state of residence, or of the right to bring proceedings in the courts of that place where applicable law gives you that right.

23. Changes to these Terms

We may update these Terms. The version and effective date appear at the top of this page.

For material changes we will give notice through the Service before the change takes effect. Material changes apply from your next renewal if you hold a subscription, and otherwise thirty days after notice is given. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. Non-material changes take effect on publication.

24. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of the business or the Service.

Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control. Sections 7, 8, 13, 19, 20, 21 and 22 survive termination.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
